1. Acceptance of Terms
By accessing or using TradeWorks Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
TradeWorks Pro provides cloud-based field service management and construction project management software, including but not limited to:
- Customer relationship management (CRM)
- Scheduling and dispatch
- Invoicing and payment processing
- Communication tools (VoIP, SMS, email)
- Mobile applications
- Reporting and analytics
3. Account Registration
To use the Service, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
4. Subscription and Billing
4.1 Fees
You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis.
4.2 Payment
Payment is due upon subscription and will automatically renew unless cancelled. You authorize us to charge your payment method on file.
4.3 Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded within 30 days of purchase if you have not substantially used the Service.
5. User Responsibilities
You agree to:
- Use the Service in compliance with all applicable laws
- Not upload malicious code or interfere with the Service
- Not access accounts or data of other users
- Not resell or redistribute the Service without authorization
- Maintain appropriate backups of your data
- Comply with industry regulations applicable to your business
6. Data Ownership
Your Data: You retain all ownership rights to the data you input into the Service. We do not claim ownership of your content.
License: You grant us a limited license to use your data solely to provide and improve the Service.
Export: You may export your data at any time using our export tools.
7. Intellectual Property
TradeWorks Pro and its licensors retain all intellectual property rights in the Service, including but not limited to:
- Software and source code
- User interface designs
- Logos, trademarks, and trade dress
- Documentation and training materials
8. Service Availability
We strive to maintain 99.9% uptime. However, we do not guarantee uninterrupted access and may suspend the Service for:
- Scheduled maintenance (with advance notice)
- Emergency repairs
- Security incidents
- Violations of these Terms
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEWORKS PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless TradeWorks Pro from any claims, damages, or expenses arising from:
- Your use of the Service
- Violation of these Terms
- Violation of any third-party rights
- Your business operations and customer relationships
11. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the Service will be suspended
- You may export your data for 30 days
- Unpaid fees become immediately due
- We may delete your data after 90 days
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Austin, Texas.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
